Instant Help Evaluation Agreement

You are about to register for Zion Software's Instant Help Evaluation. Please review the Evaluation License Agreement below. You must accept the agreement in order to proceed.

International License Agreement for Instant Help Evaluation

General Terms
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING INSTANT HELP. ZION SOFTWARE IS WILLING TO PROVIDE EVALUATION ACCESS TO A HOSTED VERSION OF INSTANT HELP TO YOU ONLY IF YOU FIRST ACCEPT THE TERMS OF THIS AGREEMENT. BY USING THE HOSTED INSTANT HELP SOLUTION YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PROMPTLY CEASE USE OF ANY SOFTWARE OR HOSTED SERVICE AND DESTROY ALL COPIES OF INSTANT HELP SOFTWARE YOU MAY HAVE DOWNLOADED OR INSTALLED, INCLUDING DOCUMENTATION, AND LICENSE INFORMATION FROM YOUR COMPUTER SYSTEMS.

Instant Help is owned and all rights reserved by Zion Software, LLC (Zion Software) and is licensed for hosted and non-hosted use, not sold.

The term "Instant Help" means the original program as a binary distribution or as a hosted service accessable over the internet and all whole or partial copies of it. A Program consists of machine-readable instructions, its components, data, audio-visualcontent (such as images, text, recordings, or pictures), and related licensed materials.

This Agreement includes General Terms and is the complete agreement regarding the evaluation of Instant Help, and replaces any prior oral or written communications between you and Zion Software.

1. License to Use
Zion Software grants you a nonexclusive license to evaluate Instant Help for up to 30 days beginning on the first evaluation request and soley for the purpose of evaluating the practical uses of Instant Help within your organization. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.

2. Charges and Taxes
Access to the hosted Instant Help evaluation software is licensed for free, as a no-cost evaluation service solely for the purpose of evaluating the practical uses of Instant Help within your organization. Contact Zion Software to obtain a quote for commercial use when you are ready to deploy Instant Help for production, commercial use.

3. No Warranty
SUBJECT TO ANY STATUTORY WARRANTIES WHICH CAN NOT BE EXCLUDED, ZION SOFTWARE MAKES NO WARRANTIES OR CONDITIONS EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE WARRANTY OF NON-INFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, REGARDING INSTANT HELP OR TECHNICAL SUPPORT, IF ANY.

4. Limitation of Liability
NEITHER ZION SOFTWARE NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS, OR ANY INCIDENTAL, SPECIAL, OR OTHER ECONOMIC CONSEQUENTIAL DAMAGES, EVEN IF ZION SOFTWARE IS INFORMED OF THEIR POSSIBILITY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

5. General
Nothing in this Agreement affects any statutory rights of consumers that cannot be waived or limited by contract.

Zion Software may terminate your license if you fail to comply with the terms of this Agreement. If Zion Software does so, you must immediately cease use of the hosted Instant Help service and destroy all downloaded copies of the Instant Help software and documentation from your computer systems.

You agree to comply with applicable export laws and regulations.

Neither you nor Zion Software will bring a legal action under this Agreement more than two years after the cause of action arose unless otherwise provided by local law without the possibility of contractual waiver or limitation.

Neither you nor Zion Software is responsible for failure to fulfill any obligations due to causes beyond its control.
